COMMUNICATION WITH THE AFM IEB<\/p>\n<p>LETTER TO THE AFM IEB FROM A LOCAL 47 MEMBER<\/p>\n<p>February 16, 2016<\/p>\n<p>Ray Hair, President<br \/>\nInternational Executive Board<br \/>\nc\/o Sam Folio, Secretary-Treasurer<br \/>\nAmerican Federation of Musicians<br \/>\n1501 Broadway, Ste. 600<br \/>\nNew York, NY 10036<\/p>\n<p>RE: Referendum to Sell 817 Vine Street<\/p>\n<p>Dear President Ray Hair and International Executive Board,<\/p>\n<p>I am writing on behalf of many members of Local 47\/Musicians&#8217; Club<br \/>\nwho are convinced that the referendum recently passed to sell our<br \/>\nVine Street property was severely compromised.\u00a0 While perhaps<br \/>\none to two procedural &#8220;missteps&#8221; may not be sufficient to void<br \/>\nthe referendum&#8230;.the aggregate is circumstantially compelling.<\/p>\n<p>As the parent organization we are asking you to consider taking<br \/>\nthe Local into Trusteeship and\/or voiding the referendum vote<br \/>\nbased on the following:<\/p>\n<p>1) Absolute refusal by the administration to use an outside agency<br \/>\nto secure the ballot and voting process, given the magnitude of<br \/>\nthe vote. The administration had been urged by the membership<br \/>\nto do so in open meetings early on.<\/p>\n<p>2) Unclear ballot language with the Local refusing to clarify what a<br \/>\nyes vote meant or what a no vote meant, leaving many members to<br \/>\nconsider the question a fraud because were not being asked a yes<br \/>\nor no question.\u00a0 Repeated efforts seeking clarification was met with<br \/>\ncontempt for asking.\u00a0 It was at the January 25, 2016 meeting,\u00a0 Atty.<br \/>\nLevy confirmed that what the ballot means is based on the intent<br \/>\nof the drafter.\u00a0 (4 days before the end of the voting period.)<\/p>\n<p>3) The administration thwarted any dissent by manipulation of the<br \/>\ninformation and avenues of membership communication. The<br \/>\nmembership-at-large was deprived of alternative compelling<br \/>\narguments that the administration was well aware of. This we believe<br \/>\nis a Title I issue under the LMRDA that can only be remedied by a<br \/>\ncivil suit by the members.<\/p>\n<p>4) The Election Board did not have control over the process.\u00a0 They<br \/>\ncannot account for every ballot. The Election Board Chair referred<br \/>\nall questions to Atty. Levy, even as to how to handle the &#8220;Return to<br \/>\nSender&#8221; ballots which were not produced until an observer insisted<br \/>\non their physical presence with all other returned ballots. And only<br \/>\nthen, with the help of Vice-President Baptist who apparently obtained<br \/>\na key to the cabinet that kept those ballots separate from the care<br \/>\nof the election board.\u00a0 Also, no unused ballots were produced or<br \/>\ncounted in the final tally.<\/p>\n<p>5) While the voting result on its face looks to be overwhelming, the<br \/>\ntruth is that in order for the referendum to even be viable there<br \/>\nneeded to be\u00a0 50%+1 of the eligible voters to return their ballots.<br \/>\nThat threshold was met by only 240 ballots. Given all the &#8220;substantive&#8221;<br \/>\nand &#8220;procedural&#8221; problems, this referendum should properly be voided.<\/p>\n<p>We are told that all members in good standing in Local 47 are also<br \/>\nmembers of the Musicians&#8217; Club, a 501 c 2.\u00a0 The purpose of the Club<br \/>\nwas to hold the Local&#8217;s\u00a0 real property in trust.\u00a0 The by-laws of the<br \/>\nClub call for the elected officials of Local 47 to hold the same positions<br \/>\nas Club officers and directors.<\/p>\n<p>It is also our understanding that the 501 c 2 was created to keep the<br \/>\nAFM from taking over the Local some years ago.\u00a0\u00a0 In fact, that would<br \/>\nprobably explain why,\u00a0 since 2005 the 990 Form filed by the Club<br \/>\nreported a &#8220;secured note&#8221; owed to an &#8220;unrelated third party.&#8221;\u00a0 That<br \/>\nis not the case.\u00a0 This &#8220;error&#8221; in reporting has and did give the IRS<br \/>\nand the public the impression that there was a secured loan owed<br \/>\nby the Club.\u00a0 Attached is the response to my inquiry regarding the<br \/>\nfederal filing from Local 47&#8217;s accounting firm who agreed to correct<br \/>\nthis entry to another line.<\/p>\n<p>A note for zero interest showing a sum due and payable in 2024 was<br \/>\nattached to Form 990 in 2005.\u00a0 That note identified monies used to<br \/>\nbuild our rehearsal rooms. Since then, there was another sum of money<br \/>\nadmittedly transferred from Local 47 to the Club for the refurbishment<br \/>\nof our auditorium.\u00a0 Essentially, they have borrowed from and are paying<br \/>\nback themselves. (Local 47 Counselor Levy refers to this as a &#8220;ledger<br \/>\ntransfer.&#8221;)\u00a0 All in all, we have put about one million dollars in upgrades<br \/>\nto our facilities between 2005 and 2009.<\/p>\n<p>Under the Local and Club by-laws, I have requested the Minutes that<br \/>\nshould have reflected these transactions.\u00a0 I have repeated my request<br \/>\nboth in writing and in person. Apparently, the proper corporate formalities<br \/>\nhave not been followed and it is only because of the referendum that<br \/>\nthe Club has been resurrected to be visible to the membership.<\/p>\n<p>The Club by-laws are now posted on the Local 47 website.<\/p>\n<p>Finally, while observing the ballot counting on February 2, 2016 I had a<br \/>\ndiscussion with President John Acosta regarding the fact, that to date,<br \/>\nthere is no motion or resolution that requires the Club to actually replace<br \/>\nour facilities.\u00a0\u00a0 There is no timeline.\u00a0 What about the balance of the funds?<\/p>\n<p>President Acosta indicated that they were looking to secure a balance after<br \/>\nrelocation and remodeling for use as an endowment protected from the AFM.<br \/>\nI would argue that the issue is one of alter-ego and that failure to follow<br \/>\ncorporate formalities should allow a court to ignore the corporate forum<br \/>\nof the Club allowing the AFM to intervene.<\/p>\n<p>Of course, there is much more to this than these few points. We understand<br \/>\nthat the Department of Labor does not involve itself in internal union<br \/>\ngovernance unless it is regarding a regularly scheduled election of officers,<br \/>\nor wrongful use of monies.<\/p>\n<p>As the recognized governing body for the United States and Canada we are<br \/>\nlooking for your oversight and intervention.<\/p>\n<p>Thank you for your consideration of this matter. Please let me know that you<br \/>\nhave received this correspondence and what actions, if any, you are prepared<br \/>\nto take. I understand there is<br \/>\noften disagreement among members regarding the conduct of a union&#8217;s internal<br \/>\nbusiness affairs, particularly at Local 47. In fact, rarely is there unanimity on such<br \/>\nissues. However, the Federation cannot justify imposition of a trusteeship on the<br \/>\nbasis of requirements that do not exist in the LMRDA or AFM bylaws, or on conclusory<br \/>\nassertions unsupported by factual evidence. The remedy of trusteeship cannot be<br \/>\nsustained in the absence of clear and convincing proof of a violation of law.<\/p>\n<p>We note, for example, that the employment of a third-party agency of Election<br \/>\nBoard to administer the voting process in the referendum was not required by<br \/>\neither the LMRDA or the Federation. Thus, a trusteeship could not be supported<br \/>\non this basis. Nor would the Federation trustee a Local where an election or<br \/>\nreferendum proceeded without the participation of 50% + 1 of eligible voters<br \/>\nas you suggest. We do appreciate the information that &#8220;return to sender&#8221; ballots<br \/>\nand unused ballots were not tabulated as a vote either for or against the proposal,<br \/>\nand believe that this protocol was appropriate. We are further persuaded that the<br \/>\nreferendum was conducted according to law by your confirmation that open<br \/>\nmembership meetings were held early in the referendum process up through<br \/>\nfour days before the close of voting, and that Local counsel was present during<br \/>\nat least one of there meetings.<\/p>\n<p>Many of the other allegations in your letter lack factual details specific enough for<br \/>\nthe Federation to act upon them. For instance, your objection to the ballot language<br \/>\ndoes not explain how the ballot was unclear or fraudulent, who was allegedly<br \/>\nsubject to contempt for repeatedly seeking clarification, the source(s) of such<br \/>\ncontempt, or the nature of such contempt. Similarly, your letter is vague as to<br \/>\nhow in particular Local 47 officials chilled dissent or membership communication.<br \/>\nLocal officers cannot be compelled to make every argument for and against certain<br \/>\nactions, and frequently do make recommendations on ballot referendums. In that<br \/>\nregard, we have no factual basis upon which to distinguish this referendum from<br \/>\nthe norm. And, you have not referred to, and we are unaware of, any threat of<br \/>\ninternal union charges or actual charges made against a Local 47 member as<br \/>\na result of protected speech or activity.<\/p>\n<p>Finally with respect to the intend use of proceeds from a property sale, if any,<br \/>\nsuch determination rests with Local 47 and its members. The Federation cannot<br \/>\nlegitimately deploy trusteeship to coerce this determination or to prospectively<br \/>\n&#8220;cure&#8221; a breech of trust of trust that has not occurred. To the best of our inquiry,<br \/>\ninformation, and belief, there have been no substantial irregularities in the<br \/>\naccounting practices of either Local 47 or the Musician&#8217;s Club. The Musicians&#8217;<br \/>\nClub exists and operates in accordance with state and federal laws and regulations.<br \/>\nWe therefore maintain the presumption that the offices of Local 47 will continue<br \/>\nto manage members&#8217; assets in full compliance with their fiduciary duties.<\/p>\n<p>The federation expresses no opinion with\u00a0 respect to the substance of the<br \/>\nproposed sale of the Vine Street property. Nevertheless, I trust my response<br \/>\nwill resolve any doubts you have about the validity of the referendum procedures.<\/p>\n<p>Sincerely,<\/p>\n<p>Raymond M.
