Please be<br \/>\nthere to make the local be more &#8220;RESPONSIBLE&#8221;.<\/p>\n<p>===================================<\/p>\n<p>I. 2ND LAWYER LETTER TO LOCAL 47 COUNSEL <\/p>\n<p>Re: Correspondence to AFM Local 47 dated January 5, 2016<\/p>\n<p>Dear Mr.(Local 47 Counsel) <\/p>\n<p>Pardon the delay in responding to your letter of January 8.<\/p>\n<p>And thank you for the offer to meet with the Board. My clients\u2019<br \/>\ndecline based on past experience with the Board, which has<br \/>\nbeen tone deaf to the concerns and grievances of many<br \/>\nmembers \u2013 especially regarding the sale of 817 Vine Street.<br \/>\nWe have no expectation the Board will sufficiently address<br \/>\nthe issues raised in my letter of January 5.<\/p>\n<p>Your letter also fails to respond to many of the issues.<\/p>\n<p>These include the knowing failure by the Board to correct<br \/>\ncontinuing, erroneous misrepresentations, including, significantly,<br \/>\nthe amount of \u201csurplus revenue\u201d available to invest after 817<br \/>\nVine Street is sold, a new building is purchased, and renovations<br \/>\nare completed. The failure is grievous because the entire object<br \/>\nof the exercise in selling 817 Vine Street is to provide Local 47<br \/>\nwith an \u201c$11 million fund\u201d which will produce sufficient interest<br \/>\nor dividend income over the long haul to ensure the \u201ccontinued<br \/>\nviability of Local 47.\u201d I am certain a lawsuit will be filed by<br \/>\nthose who relied on the representation against those responsible<br \/>\nif the representation turns out to be false.<\/p>\n<p>There was no mention in your letter of the Board\u2019s choice not<br \/>\nto provide for an independent third-party to keep custody of<br \/>\nthe ballots until they are counted, or for independent, third-<br \/>\nparty supervision of the ballot count.  Yet the board spent<br \/>\n$15,000 to aggressively promote the sale of 817 Vine Street,<br \/>\nincluding printing of entirely unnecessary color ballots and<br \/>\npromotional materials. Nor has the board explained why, in<br \/>\nthe referendum count, it has departed from the standard<br \/>\nrequired in the Bylaws for the election of officeholders;<br \/>\nespecially when the Board claims this referendum is \u201cthe<br \/>\nmost important vote\u201d members will ever make. <\/p>\n<p>Nor did you address the misleading and confusing<br \/>\nlanguage of the ballot.  One of the points I raised in<br \/>\nmy January 5 letter was the absence of an explanation<br \/>\nwhat a \u201cyes\u201d vote, and what a \u201cno\u201d vote, mean. Many<br \/>\nmembers have questioned me on this point. That &#8212;&#8211;<br \/>\n(Member Realtor) finally addressed the confusion in<br \/>\nhis email \u201cblast\u201d to members on January 6, 2016 admits<br \/>\nthe confusing nature of the language.<\/p>\n<p>And regarding the &#8212;- (Member Realtor) email, is a list<br \/>\nof those member names and email addresses who have<br \/>\nnot so far voted available to all members?  In that regard,<br \/>\n(Member Realtor) states \u201cI saw your name on a list a week<br \/>\nago or so that you have not sent in your ballot yet.\u201d  <\/p>\n<p>If available to members, in my capacity as an active<br \/>\nmember of Local 47, I request a copy of the list within<br \/>\nthe next 48 hours.<\/p>\n<p>And I also found it interesting that (Member Realtor), in<br \/>\naggressively soliciting \u201cYes\u201d votes on behalf of himself<br \/>\nand the Board, failed to disclose that he was going to<br \/>\npersonally benefit by receiving a large chunk of the $1<br \/>\nmillion real estate fee\/commission if he could persuade<br \/>\nrecipients of his email to vote for the sale.  <\/p>\n<p>Finally (Member Realtor), who is apparently acting as an<br \/>\nauthorized representative of the Board in his email blast,<br \/>\nalludes to the extensive and annoying methods employed<br \/>\nby the Board in drumming up \u201cyes\u201d votes when he states:<br \/>\n\u201cPlease vote!  I am writing you instead of Union phone bank<br \/>\ncontacting you time after time; I figured you would appreciate<br \/>\nthat.\u201d  <\/p>\n<p>You also failed to address the need by the Board for an<br \/>\nindependent appraisal of 817 Vine Street, given their<br \/>\nutter lack of experience in the purchase or sale of<br \/>\ncommercial real estate, especially unique property<br \/>\nsuch as 817 Vine Street.<\/p>\n<p>As previously noted, how the referendum has been<br \/>\nhandled by the Board has led to great distrust among<br \/>\nthe members. And the distrust appears to be the<br \/>\nproximate cause of the increasingly desperate measures<br \/>\nnow undertaken to drum up enough votes to authorize<br \/>\nthe Board just to count the votes received. <\/p>\n<p>Yours sincerely,<\/p>\n<p>ROBERT HIRSCHMAN &#038; ASSOCIATES<\/p>\n<p>============================<\/p>\n<p>II. A FORMER PRESIDENT SPEAKS &#8211; BILL PETERSON<\/p>\n<p>Subject: Questions &#038; concerns from many members re: sale<br \/>\nof 817 N. Vine &#038; adjacent property<\/p>\n<p>Local 47 Officers John Acosta, Ruck Baptist, Gary Lasley,<br \/>\nGordon Grayson and Members of the Executive Board.<\/p>\n<p>I am Bill Peterson, a 50 year + member , recording trumpeter<br \/>\nand former Vice President &#038; President of Local 47. Here are\u00a0<br \/>\nquestions &#038; concerns I have been asked, and I have had myself,<br \/>\nregarding the sale of the 817 N. Vine St., the building &#038;\u00a0<br \/>\nadjacent property, and subsequent move of\u00a0Local 47 functions<br \/>\nsuch as offices, auditorium, rehearsal rooms, et al, to Burbank.<\/p>\n<p>I want to make it clear that I have had many calls and emails with<br \/>\nquestions I have been\u00a0asked by members as well as some of<br \/>\nmy own to which I would like an answer.\u00a0<\/p>\n<p>1. \u00a0Who is the appraiser who did the appraisal of the present<br \/>\nsite, and when, and at what cost was this appraisal accomplished?\u00a0<\/p>\n<p>2. \u00a0When was the listing of 817 N. Vine, (building &#038; property),<br \/>\ngiven to a real estate \u00a0agent or firm?\u00a0<\/p>\n<p>3. \u00a0How was this decision made? How was a real estate agency chosen?<\/p>\n<p>4. \u00a0Was this done before notifying the Musicians Club &#038; Local<br \/>\n47 membership of any of these moves, or the plan to move ?<br \/>\nWas a competent architect, building designer or architect hired to<br \/>\nmake an estimate of the cost to Local 47 to build or make needed<br \/>\nfacilities at the Burbank location such as an auditorium, rehearsal<br \/>\nrooms, offices, archival area, et al?<\/p>\n<p>5. \u00a0What is the true financial status of Local 47? \u00a0The total financial<br \/>\n&#038; property assets of Local 47? Profit\/ Loss figures for the last 3 years?<br \/>\nIs a balance sheet available to all interested members, which shows<br \/>\nthe assets, real, cash, and investments of the Local?<\/p>\n<p>6. \u00a0Is the new location practical, in terms of on-site parking for members,<br \/>\norchestras that need or wish to rehearse there, and parking which is safe,<br \/>\nfree, and close and available, such as the Local members now enjoy?<\/p>\n<p>7. \u00a0Will the sale of the present property eventually result in another raise<br \/>\nfor the officers of 47? Will the top three \u00a0executives; President,\u00a0<br \/>\nVice President &#038; Sec. Treasurer be granted higher salaries ?<\/p>\n<p>8. \u00a0Why have the Local Officers &#038; Executive Board decided to put ballot<br \/>\nboxes in the Secretary Treasurer&#8217;s offices? Why wasn&#8217;t an organization\u00a0<br \/>\nsuch as the League of Women Voters or a similar organization chosen<br \/>\nto hold this Voting procedure?<\/p>\n<p>This vote concerns the very life of the Local, and is too vital and sensitive<br \/>\nto handled by placing ballot boxes in a sitting Officer&#8217;s office.<\/p>\n<p>This question casts no aspersions at any officer or individual, but points<br \/>\nup the fact that the very Local 47 financial present &#038; future is at stake here.<\/p>\n<p>9. How much of Local 47&#8217;s, and the Local Memberships&#8217; funds \u00a0been spent<br \/>\nto launch the campaign to sell 817 N. Vine &#038; the adjacent property?<\/p>\n<p>What cost has the printed material &#038; mailing, &#038; \u00a0phone bank been?<br \/>\n\u00a0 \u00a0 \u00a0\u00a0<br \/>\n10. \u00a0Have any monies been offered to members, (individual or groups),<br \/>\nwho do not agree with the aims of this campaign?<br \/>\n\u00a0<br \/>\n11. Why was knowledge of the plan to sell 817 N. Vine St, Local 47 &#038;<br \/>\nMusicians Club \u00a0building and adjacent property not announced in a logical,<br \/>\nstraightforward way to the members of the Local? Many members<br \/>\nlearned of the plan as a rumor which &#8220;leaked out&#8221; bit by bit!<\/p>\n<p>12. What are the exact figures, dollar amounts, please), of number of<br \/>\nfilm &#038; TV sessions, (live &#038; film) as well as recording a game-show sessions,<br \/>\nand the amount of\u00a0work dues collected from these sessions, for the<br \/>\nlast five years?<\/p>\n<p>In Closing, I feel it incumbent upon you\u00a0to answer these questions as<br \/>\nelected officials of our Local,\u00a0In order for the membership to make any<br \/>\nkind of\u00a0responsible and\u00a0informed vote on this plan.<\/p>\n<p>Fraternally yours,<\/p>\n<p>Bill Peterson<\/p>\n<p>===================================<\/p>\n<p>III. THE MARSHALL SPEAKS<\/p>\n<p>To my friend, teacher, coach &#038; colleague &#8212;&#8212; &#8212;-,<br \/>\nand all of you listed above, I offer my thoughts on the<br \/>\nsale of 817 N. Vine St., and adjacent property\u2026.<\/p>\n<p>If you agree or disagree, I applaud you for considering<br \/>\nwhat I have written. Feel free to share this, if only to stir<br \/>\nup discussion before a decision to sell or not to sell is<br \/>\nmade. I point out what I believe are the real, underlying<br \/>\nproblems that face our officers &#038; Exec. Bd.<\/p>\n<p>What this is really about is:<\/p>\n<p>1.The lack of what my license plate proclaims\u2026 &#8220;MO GIGS&#8221;! \u00a0<br \/>\nThe Local&#8217;s finances are at a low \u00a0of perhaps $900,000.<br \/>\nThis is because there are not enough films, TV, Video games,<br \/>\netc. being scored in L.A. Instead the Pres. of the AFM, Ray<br \/>\n(&#8220;Wild&#8221;) Hair, has been busy suing the studios for this or<br \/>\nthat infringement \u2026<\/p>\n<p>2. The Local is worried about the costs of doing business,<br \/>\nsuch as replacing the roof at 817 N. Vine, updating the<br \/>\nelectricals, etc, and some improvement to the fa\u00e7ade<br \/>\nof the bldg. The Officers &#038; Board feel that they can sell<br \/>\nthe bldg., (worth little) &#038; adjacent property, (worth a lot!),<br \/>\nso they can move the operation to Burbank and use part<br \/>\nof the sale proceeds to construct rehearsal rooms, an auditorium,<br \/>\netc. &#8211; in other words have some of what the Local already has,<br \/>\nplus put $ in the bank.<\/p>\n<p>I feel that a move to Burbank, or Petaluma, or Colton, California<br \/>\nis not the answer to Local 47&#8217;s woes. The property at 817 N.Vine<br \/>\nstands glowing like a cash cow. Even if the property is sold, but<br \/>\nno new work comes into Local 47, so that no new income comes<br \/>\ngushing to the Local, cash can easily be used up. I think it&#8217;s great<br \/>\nthat the salaries of our officers are very handsome indeed, Pres.<br \/>\nupwards of $130 K per year, Veep &#038; Sec. treasurer at least $ 93 K.<br \/>\nbut if the Union can&#8217;t afford to put a new roof on the building,<br \/>\nperhaps the Officers could consider &#8216;contributing&#8217; part these<br \/>\nsalaries back to Local 47 coffers, so as to keep a roof over<br \/>\ntheir heads.<\/p>\n<p>3. No one seems to remember the effect that Uan Rasey, Vince<br \/>\nDeRoas and all the others had when they &#038; others, \u00a0started<br \/>\n&#8220;The Guild&#8221;! That organization forced Petrillo &#038; those who<br \/>\nfollowed him into the AFM presidency, to pay attention to<br \/>\nthe needs and desires of the players, such as:<br \/>\nTo be consulted &#038; involved in negotiations with the studios,<br \/>\nand receive the &#8220;Raises&#8221; which Petrillo got, \u00a0but funneled<br \/>\ninto the James C, &#038; Caesar Petrillo Trust funds. My 1st<br \/>\nrecord date, with leader Van Alexander for Gordon MacRae<br \/>\nat Capitol Studio paid\u00a0$ 60.00\u2026 When the guild got Sinatra,<br \/>\n&#038; his label &#8220;Reprise&#8221;, \u00a0to sign with The Guild to be the<br \/>\nbargaining agent of Phono musicians, scale went up<br \/>\namazingly to $100.00 a session.<\/p>\n<p>$. So, what to do? Sell the bldg., &#038; property, sit on the<br \/>\nproceeds after buying &#038; outfitting new digs in fabulous<br \/>\ndowntown Burbank, the new hub of Show Biz, according to<br \/>\nour elected officials, (or Petaluma, or Fontana!!), and wait for<br \/>\nthe work of scoring \u00a0films, TV, Video games, jingles, &#038; so to<br \/>\nmagically flow back! Well, if we don&#8217;t do something new and<br \/>\ninventive, like realizing that BOTH sides of the table have<br \/>\nitems they want, need, and are determined to get!! \u2026<br \/>\nAnd unless we find new ways, new negotiations, etc., to<br \/>\nbring the work back to this town, the work won&#8217;t return &#8212;<br \/>\nit ain&#8217;t gonna happen!! The Local will eventually run out of $,<br \/>\nand the Officers won&#8217;t collect the generous salaries they receive.\u00a0<\/p>\n<p>Sure, \u00a0having John Towner Williams score the new StarWars<br \/>\nhere is a good move in the right direction, but after joining<br \/>\nattorney\/deal maker Jay Cooper one evening, \u00a0a couple of<br \/>\nmonths ago, I heard that the majors have memos to producers,<br \/>\netc. that order, &#8220;Do not score films in L.A. using the Local 47<br \/>\nforces!&#8221; (Or words to that effect).<\/p>\n<p>Perhaps we can meet and listen to what Jay Cooper, highly respected<br \/>\nmember &#038; attorney, might say, and perhaps get new, fresh, creative<br \/>\nideas to create &#8220;MO GIGS&#8221;! Suing the &#8216;big, bad studios&#8217;, thereby<br \/>\nmaking them our enemies is not going attract them back to hiring<br \/>\nLocal 47 players!!! But the folks that run the studios are business<br \/>\nmen &#038; women, whose job it is to turn a profit with the product!<br \/>\nGee! what a concept?!<\/p>\n<p>They want the best price to score their films that they can get.<br \/>\nThe Secondary markets payment has been a great addition to<br \/>\nscoring musicians&#8217; incomes. But if there is no work, then, then,<br \/>\nof what benefit is the Back End payment. Especially to those,<br \/>\noutside of the 100 or 150 musicians who are called to do what<br \/>\nlittle work there is!<\/p>\n<p>There are hundreds of competent players who do dark dates, etc.,<br \/>\nbecause they are not working, and they have to pay their bills. I<br \/>\ncast no aspersions or stones, (&#038; until my shoulder heals I won&#8217;t be<br \/>\ncasting anything but spit!)! Perhaps new, creative ways to be found,<br \/>\nthought of, brainstormed, by the musicians who work &#038; those who<br \/>\ndon&#8217;t, to attract the employers back! It&#8217;s a dream, I know, but I<br \/>\nfervently pray that the days of 2, 3, &#038; 4 dates a day, can, &#038; will,<br \/>\nreturn. I had my day doing the work, but I want all the fine players<br \/>\nin this Local to have that opportunity and that gift too!<\/p>\n<p>The bottom line is, as my license plate proclaimed,<\/p>\n<p>&#8220;MO GIGS&#8221;!<\/p>\n<p>&#8220;The Marshal&#8221; has done spoke!<\/p>\n<p>{EC: We couldn&#8217;t agree more!]<\/p>\n<p>=====================================<\/p>\n<p>IV. FMA REPORT<\/p>\n<p>[EC: No one can say we don&#8217;t print opposing views. However,<br \/>\nthis seems like a simple restatement of all the Local talking<br \/>\npoints with much of it in the exact wording the Local has used.<\/p>\n<p>Was this all written personally by Lisa, or was she given verbiage<br \/>\nto pass on?<\/p>\n<p>If this was so honest and forthright on the Local&#8217;s part why<br \/>\nall the deception, duplicitous ballot and bait and switch meetings? <\/p>\n<p>We don&#8217;t buy it.<\/p>\n<p>As to the ballot, the fault lays squarely at the feet of the Local 47 counsel.<br \/>\nAs we&#8217;ve pointed out before, the wording was perfect on the 4 page,<br \/>\n&#8220;Mini-Overture&#8221;. As President Acosta pointed out, the wording was<br \/>\nchanged directly at the behest of the counsel.<\/p>\n<p>We still say not voting is the only way to guarantee your vote counts<br \/>\nas a no.]<\/p>\n<p>Dear Freelance Musicians Assn &#8211; FMA Members:<br \/>\n\u00a0<br \/>\nReport on possible Local #47 building sale:<br \/>\nAs you may know, we are being asked to vote whether to sell<br \/>\nour Local #47 building, and buy another location. Deadline<br \/>\nfor ballots is Monday, Feb 1 (either by mail, or via a special<br \/>\nballot box at our Local.)<br \/>\n\u00a0<br \/>\nTwo things happened this week:<br \/>\n1. The Building Committee was given many new details as to<br \/>\n\u201cwhy\u201d this action is being brought to a vote now.<br \/>\n2.\u00a0On Thurs Jan 14, we saw the entirety of the potential new<br \/>\nproperty, both inside and out, with our own eyes.<\/p>\n<p>Based on the information below, I am personally recommending<br \/>\na \u201cYes\u201d vote regarding the building sale and relocation.<\/p>\n<p>And I am additionally asking that all FMA members please return<br \/>\ntheir ballots ASAP. (\u201cIf\u201d you have already mailed in your ballot with<br \/>\na \u201cNo\u201d vote, but are reconsidering in view of the following info,<br \/>\nplease contact Secretary\/Treasurer Gary Lasley, who will put you in<br \/>\ntouch with the Election Board for a new ballot.)<\/p>\n<p>(This info below was previously not mentioned to the rank &#038; file &#8211;<br \/>\nwhy is that? But now we have details!)<\/p>\n<p>1. Why are we considering selling now?<br \/>\na. Several \u201cbig ticket\u201d repairs, which have been delayed for varying<br \/>\nlengths of time, are now at the point where they \u201cmust\u201d be done<br \/>\nwithout further delay, including:<br \/>\n1. Desperately needed new roof<br \/>\n2. Electrical building grid is at capacity (due to the ever-increasing<br \/>\nneeds of computers &#038; security.)<br \/>\n3. Earthquake retrofit concerns (Many homeowners face this same<br \/>\ndilemma: &#8220;Get a loan &#038; fix what we&#8217;ve got vs. sell and move to<br \/>\nsomething better?&#8221;)\u2028<br \/>\nb.\u00a0Property values are still rising (but currently extremely volatile<br \/>\nstock market.)<br \/>\nc.\u00a0Property taxes, which have always come out of Local #47\u2019s budget,<br \/>\nare getting more difficult to afford<br \/>\n\u00a0<br \/>\n(It is my opinion that up til now, our Officers and Executive Board were<br \/>\nhoping for a turnaround in our music business economy.<br \/>\nIt is embarrassing to admit that our #47 revenue has decreased<br \/>\nsubstantially.<\/p>\n<p>Sadly, the time to \u201cwait and see\u201d must now be over. Our reserves<br \/>\nare lower than ever before.<br \/>\nRather than take out a huge loan for repairs (which we might not<br \/>\nbe able to repay!) our leaders feel we should take different action.)<\/p>\n<p>2. However, I see this as a wise move for our<br \/>\nLocal in view of the obstacles.<br \/>\n\u00a0<br \/>\nOnly 2,200 ballots \u2013 total \u2013 have been returned so far.
