SPECIAL CLUB 47 MEETING REQUESTED<\/p>\n<p>One week and a day after the October 26th General Membership<br \/>\nMeeting, members presented the Local with the formal<br \/>\nrequest for a special Club 47 meeting to discuss and vote<br \/>\non three different motions.<\/p>\n<p>Here is what the request said:<\/p>\n<p>FORMAL REQUEST FOR CLUB 47 MEETING 11\/1\/15<\/p>\n<p>As provided in Article V, Section 3 of the Constitution<br \/>\nand Bylaws of the Musicians\u2019 Club of Los Angeles<br \/>\n(\u201cCLUB 47\u201d), this is a formal request for a special meeting<br \/>\nof CLUB 47 to discuss and vote on the three motions below:<\/p>\n<p>1) Nullify the ballots previously sent in order to clarify and<br \/>\ncomplete the proper language before a new ballot with<br \/>\nthe following question is sent:<\/p>\n<p>Shall the officers of the Musician&#8217;s Club of Los Angeles<br \/>\n(&#8220;the Club&#8221;) be authorized to sell the Club&#8217;s real properties. &#8211;<br \/>\nlocated at 817\/823 Vine and 812\/830 Lillian Way, Hollywood,<br \/>\nCA 90038.<\/p>\n<p>2) Postpone the sale of the property located at 817\/823<br \/>\nVine and 812\/830 Lillian Way, Hollywood, CA 90038 until<br \/>\nsuch time that the membership has been fully informed,<br \/>\nthrough a special edition of the Overture, of all financials<br \/>\ninvolved, including but notlimited to:<br \/>\n(For Local 47 and Club 47, whichever applies)<br \/>\n-2015 operational budget<br \/>\n-2016 comprehensive balanced operational budget<br \/>\n-Cash flow statements for 2013, 2014, 2015 and 2016 (estimate)<br \/>\n-Capital Expenditures for 2016 without moving<br \/>\n-Current balance sheet<br \/>\n-Capital Expenditures for 2016 for Burbank property<br \/>\n-Sales commission rate for sale of the building<br \/>\n-An explanation on how the sale of the building will increase<br \/>\nwork for members<br \/>\n-A definition of &#8220;State of the Art&#8221;<br \/>\n-A business plan for the sale of the building.<\/p>\n<p>3) Require Local 47\/Club 47 (Whichever Applies) to<br \/>\ninclude membership comments and arguments (pro<br \/>\nand con) regarding the proposed sale and relocation<br \/>\nof the Local. Communications received by the Local<br \/>\nand\/or Club 47 to be posted upon receipt to Local 47\u2019s<br \/>\nwebsite and reprinted in the next quarterly publication<br \/>\nof the Overture.<\/p>\n<p>In consideration of the schedules of the executive board,<br \/>\nwe call for this meeting to take place at 1pm, Tuesday,<br \/>\nNovember 24 in studio room 6, or the auditorium if available,<br \/>\nof Local 47.<\/p>\n<p>In addition to the notice requirements set forth in Article<br \/>\nV, Section 4 of the Club 47 Bylaws, we also call for notice<br \/>\nto go out to all members with email, in a print mailing and<br \/>\nannounced in the online and next print edition (January,<br \/>\n2016) of the Overture.<\/p>\n<p>Below you will find at the least 10 signatures required to<br \/>\nformally make this request&#8230;.<\/p>\n<p>There were plenty of signatures to submit the request.<\/p>\n<p>&#8212;-<\/p>\n<p>THE RESPONSE FROM THE BOARD.<\/p>\n<p>On about Thursday, November 13th, the board respond<br \/>\nto those who&#8217;d signed the petition to get the special meeting.<\/p>\n<p>The letter is as follows:<\/p>\n<p>At its November 10th meeting the board of directors of the<br \/>\nMusicians&#8217; Club of Los Angeles discussed the petition to hold<br \/>\na Special meeting of the Club. According to the California<br \/>\nCorporation Code, the meeting must be held on a date that<br \/>\nis at least 35 days but no more than 90 days form the date the<br \/>\nrequest for a meeting was received. The request was received<br \/>\non November 3rd, so the meeting must be held between<br \/>\nDecember 8, 2015 and February 1, 2016.<br \/>\nBased on the officers schedules and the availability of the<br \/>\nauditorium, the Board decided on Monday January 4, 2016<br \/>\nat 7:30 PM in p.m. in the auditorium as the time and place the<br \/>\nmeeting will take place.<\/p>\n<p>The meeting is called to discuss the potential sale of the property<br \/>\nat 817 Vine Street and other topic may be introduced. Also,<br \/>\nplease be advised that Motion #1 on the petition will be ruled<br \/>\npit opt order and will not be considered at the meeting. If you<br \/>\nhave any questions please call the Secretary\/Treasurer&#8217;s office<br \/>\nat 323-993-3159.<\/p>\n<p>Sincerely on behalf of the Local 47 Executive Board in their<br \/>\ncapacity as Board of Directors of the Musicians&#8217; club of Los Angeles.<\/p>\n<p>&#8212;&#8212;<\/p>\n<p>Colleagues,<\/p>\n<p>There was no such restriction of subject matter mentioned by the<br \/>\nparliamentarian when he explained that in the request for a special<br \/>\nmeeting, only the subjects to be covered need to be listed in<br \/>\ndetail and there needed to be at least 10 signatures attached.<\/p>\n<p>So they&#8217;re saying they won&#8217;t talk about the ballots&#8230;. Why is that?<br \/>\nIs the fix in and they don&#8217;t want it blown?<\/p>\n<p>The meeting time restriction mentioned in the Local&#8217;s letter is<br \/>\nfrom Section 601,(2)(c) of the Corporation Code. This takes us<br \/>\nless than a month from the ballot deadline.<\/p>\n<p>If they&#8217;re able to get away with this, it works out very well for them.<\/p>\n<p>Why?<\/p>\n<p>They can continue to use the duplicitous ballots as they wish,<br \/>\nassigning no votes to yes votes, and if it works in their favor,<br \/>\ndelay the sale, which will basically give them more time to<br \/>\nget the votes they need. They and the counsel thought this out<br \/>\nin great detail to thwart any attempt to slow down the sale or<br \/>\nhold anyone accountable for the underhanded way this process<br \/>\nhas been handled.<\/p>\n<p>There is at least one thing that, sadly, had been made clear.<br \/>\nSince the board voted to not allow the ballot to be considered,<br \/>\nit&#8217;s clear, at least to us, that the entirety of the board is complicit<br \/>\nin the misrepresentation of the ballots structure.<\/p>\n<p>In fact, it couldn&#8217;t be more disingenuous a process.<\/p>\n<p>In Member Fernandez&#8217; reply to the board, (From the last edition of the<br \/>\nblog) he asked straight out, &#8220;Can voting no on the ballot be used as a<br \/>\nyes vote&#8221;.<\/p>\n<p>He never received an answer, which means, unless they choose to<br \/>\nclarify it, we have our answer.<\/p>\n<p>As members of this Local you should be disgusted and angry<br \/>\nat the conduct and deplorable treatment of the membership<br \/>\nby the representatives at the Local.<\/p>\n<p>Please plan to be at this meeting, January 4th at the Local at<br \/>\n7:30 pm. Someone&#8217;s got some s&#8217;plaining to do.<\/p>\n<p>THE COMMITTEE<\/p>\n<p>==================================<\/p>\n<p>II. MEMBER COMMENTS &#8211; SPACES<\/p>\n<p>Drove by the proposed future [Potential] property tonight.<br \/>\nI counted (twice) the total parking places- I got 78 spots,<br \/>\nincluding handicapped and the spots in front of the<br \/>\nrestaurant building. <\/p>\n<p>Seems like John mentioned at least 150 at the last meeting.<br \/>\nI could not find a secondary lot- seems like a mystery-<br \/>\nwhen I counted spots at 47 a few years back, I got 112.<\/p>\n<p>Also, my research shows the Burbank property was built in<br \/>\n1968. That makes the building, ironically, 47 years old.<br \/>\nSo why do the the officers keep calling it a brand new building?<br \/>\nIt&#8217;s been empty for seven years, on the market for two.<\/p>\n<p>People have been asking me how to vote &#8211; I have been asking<br \/>\nthem this question: do you trust the union (officers) with<br \/>\n10 or 11 million dollars of our money? So far the answer<br \/>\nhas been- no&#8230;. \u2028<br \/>\nEvery time.\u2028<br \/>\nI should amend the question to: do you trust the union<br \/>\nwith 24 million dollars of our money?<br \/>\n&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<br \/>\nI have been out to the &#8220;new&#8221; building twice. There are no 150<br \/>\nspaces, unless you count the parking that belongs to AAA or<br \/>\nthe shopping center across the street.<\/p>\n<p>&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;<\/p>\n<p>Dear COMMITTEE,<\/p>\n<p>I went on Google earth, it looks like there is an additional<br \/>\nlot in the back accessible from an alley in the rear of the<br \/>\nproperty. Looks like 44 spaces. That would total 125.<br \/>\nAbout 13 spaces more than the current property.<\/p>\n<p>Ironically, 44 spaces is the same size as the lot we sold<br \/>\nto Renmar Studios years ago at 802 and 806 Lillian Way<br \/>\n(I think those are the correct addresses). Okay, I hope<br \/>\neveryone is doing something more fascinating than<br \/>\n researching parking spots on this nice Sunday eve&#8230;..<\/p>\n<p>=================================<\/p>\n<p>III. COMMENTS<\/p>\n<p>Remarkable issues here. I&#8217;m very satisfied to look<br \/>\nyour post. Thanks a lot and I am having a look forward<br \/>\nto contact you.<\/p>\n<p>&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;<\/p>\n<p>RE:<br \/>\nPlease tell us more about this RMA lawsuit. <\/p>\n<p>[EC: We believe the person who wrote the comment is<br \/>\nreferring to the lawsuits against the studios for<br \/>\nthe benefit of the RMALA members still working.<\/p>\n<p>It doesn&#8217;t change the fact that they are fighting to<br \/>\nthe last drop of OUR Blood. <\/p>\n<p>As we&#8217;ve said before, the Local is not getting to the crux<br \/>\nof the problem of our finances. We&#8217;ve lost over 80% of<br \/>\nour recording work because of the continued acquiescence<br \/>\nof our local and the AFM to the wishes of the RMA and the<br \/>\nwillingness of a small handful of musicians in the RMA<br \/>\nto see everyone else suffer to protect their July checks. <\/p>\n<p>How hard is it for them to understand that even if buyouts<br \/>\nstarted tomorrow it would have no effect on the work they&#8217;ve<br \/>\nalready done!<\/p>\n<p>Here&#8217;s what we need to do:<br \/>\nBUYOUT Trailer Contract.<br \/>\nBUYOUT Library Contract.<br \/>\nBUYOUT Sample Contract.<br \/>\nBUYOUT Video Game Contract.<br \/>\nBUYOUT Low Budget Film contract.<\/p>\n<p>There are sessions in town everyday that are dark, A whole lot<br \/>\nof them. If they could be brought in under a buyout agreement<br \/>\nthe dues they generate could do much to solving a problem<br \/>\nthat is entirely solvable, and entirely created by a combination<br \/>\nof technology and the greed of a few, but that solution cannot<br \/>\ntake place until those thwarting progress are out of the way.]<\/p>\n<p>&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;<\/p>\n<p>I was just about to vote on the &#8220;should we sell the building referendum&#8221;<br \/>\nwhen I realized there was the possibility that two measures had been<br \/>\ncombined into one.\u00a0\u00a0In other words, you could vote &#8220;no&#8221; on the<br \/>\ninitiative as phrased and it could possibly be construed that you<br \/>\nwere voting for selling the building but at a price below 22 million.<\/p>\n<p>In other words, you weren&#8217;t necessarily voting against the sale, you<br \/>\njust didn&#8217;t want a minimum. I&#8217;d prefer the ballot have two questions:<br \/>\nshould we sell the building (yes or no) and if the majority vote of the<br \/>\nmembership is to sell the building, shall the minimum bid be 22<br \/>\nmillion (yes or no).<\/p>\n<p>Takes away the ambiguity and this is too vital an issue to have any<br \/>\nroom for misinterpretation.<\/p>\n<p>[EC: We couldn&#8217;t agree more, and is the crux of the problem we&#8217;ve<br \/>\nbeen talking about.]<\/p>\n<p>&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;-<\/p>\n<p>Where do you go after getting a creative writing degree?<\/p>\n<p>[EC: Depends on the section you&#8217;re referring to.<br \/>\nOver the last number of years we&#8217;ve had so many contributors<br \/>\nthat the COMMITTEE has had to write very little. And when we<br \/>\ndo the COMMITTEE moniker is included.]<\/p>\n<p>&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;-<\/p>\n<p>how appropriate it is for the Local to use it\u2019s resources to effect this<br \/>\nreferendum and a YES vote. I wonder if the members realize how<br \/>\nmuch of their dues money is going to fund the campaign to convince<br \/>\nthem to sell their property- and how our employees are working the<br \/>\nphones\u2026.<\/p>\n<p>&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;-<\/p>\n<p>There is certainly a great deal to know about this subject.<\/p>\n<p>I really like all the points you&#8217;ve made.<\/p>\n<p>=================================<br \/>\nIV. &#8220;TIME IS NOW&#8221; COMMENT<br \/>\nMy take on the \u201cTime is NOW\u201d campaign is that the 47 board<br \/>\nwants our MONEY. They have publicly stated that the Alameda<br \/>\nproperty may not be their final choice &#8211; after members termed<br \/>\nthe Alameda building a &#8220;strip mall&#8221;. Now I hear they are looking<br \/>\nat North Hollywood.<\/p>\n<p>The state of the art recording studio is probably a dream of the<br \/>\npast, after members asked: how much?. A new building committee<br \/>\nwas named after members showed some lack of trust of the board<br \/>\n&#8211; club 47 or regular 47, depending on what hat they are wearing<br \/>\nat that particular meeting.<\/p>\n<p>Historical fact- the 1950 building committee for our present building<br \/>\nhad 43 members- that would be NOT ACCEPTABLE for the present<br \/>\nboard. The entire plan to sell seems centered on &#8220;Let&#8217;s get the<br \/>\n18, no 22; wait 24 MILLION dollars and then we will rationalize<br \/>\nwhy the members need a new location.&#8221;<\/p>\n<p>The entire affair is driven by 12 people, elected by fewer than<br \/>\n400 members on the last election. And since the board spent<br \/>\nover 700 grand more than they took in in the last 2 years, giving<br \/>\nthem access to millions just feels CRAZY.<\/p>\n<p>I think the Time Now is to really ask why they need so much money,<br \/>\n it\u2019s not about a building.<\/p>\n<p>[EC: Small point &#8211; But the next time one of the board members<br \/>\nsays. &#8220;You elected us&#8221;, please remind them that most of them<br \/>\nran unopposed.]<\/p>\n<p><!--more--><br \/>\n=================================<\/p>\n<p>V. He\u2019s worked with everyone from Elvis to Ellington, Dizzy Gillespie to Yo-Yo Ma, Joni Mitchell to Mancini and Quincy Jones to Michael Tilson Thomas.<br \/>\nKellaway is not only a major pianist, he is a composer of protean ability, writing in the music fields of jazz, classical and \u201cpop\u201d, also scoring for films and television. His acclaimed \u201cCello Quartet\u201dalbums are described by some as \u201ccrossover\u201d, \u201cchamber jazz\u201d and by others as the beginning of \u201cNew Age\u201d music. They were the first in an eclectic array of projects beginning in the 1960\u2019s. Roger\u2019s commissions include a ballet for George Balanchine and the New York City Ballet, orchestral pieces for the Los Angeles Philharmonic, the National Symphony, the New American Orchestra and a concerto, \u201cSongs of Ascent,\u201d commissioned by the New York Philharmonic, Zubin Mehta, conductor. He wrote a variety of chamber works for Carnegie Hall performances and served as musical director for Stephane Grappelli\u2019s 80th Birthday Tribute, which included Yo-Yo Ma\u2019s first entry into Jazz. Later, Stephane, Yo-Yo and Roger traveled to Paris together. Kellaway played on and wrote all the arrangements for their album, \u201cAnything Goes\u201d.<br \/>\nHe became musical director for Bobby Darin and in 1968 arranged (and conducted) Darin\u2019s album of songs from the film \u201cDr. Doolittle\u201d. Writing songs and arrangements is a passion that sometimes expands into producing, as was the case for the Carmen McRae album, \u201cI Am Music\u201d. The relationship had started with Roger\u2019s song \u201cI Have The Feeling I\u2019ve Been Here Before\u201d, written especially for her, with a lyric by the legendary team Alan &#038; Marilyn Bergman. Kellaway\u2019s most prized television credit is, \u201cRemembering You\u201d, the closing theme for the ground-breaking, \u201cAll in the Family\u201d. Composed in 1970, it is still being heard on TV around the world. In 1988, Kellaway was honored with a Grammy Award for his music on the album \u201cMemos From Paradise\u201d for Eddie Daniels. He has written (and conducted) twenty-nine film scores including Barbara Streisand\u2019s \u201cA Star is Born\u201d, for which he received an Academy Award nomination.<\/p>\n<p>The \u201cEclectic Maestro\u201d continues recording and performing concerts across the U.S. and Europe, also writing for film, theatrical productions and commissioned works.
