Symphonic musician<br \/>\n&#8230;Reporting issues the Musicians Union doesn&#8217;t dare to mention &#8211; National touring musician<\/p>\n<p>Name Withheld<\/p>\n<p>==================================<\/p>\n<p>SPECIAL COMMENT FROM THE COMMITTEE:<\/p>\n<p>It seems the COMMITTEE haters have been working overtime, A few someones&#8217;<br \/>\ndidn&#8217;t seem to want negative comments about the possible sale of the Local<br \/>\n47 building to get out to the membership. In the past 3 weeks there<br \/>\nhas been a flurry of complaints trying to get the COMMITTEE site shut down, and<br \/>\nfor a short while they succeeded, which is why the mailing is late. Mailings will return<br \/>\nin the next couple of days.<\/p>\n<p>These recent actions, unfortunately make us even more suspicious of the building<br \/>\nsale attempt. Why does the Local, or someone at the Local, seem to want to<br \/>\nkeep any negative comments from the membership? Who stands to make the<br \/>\nwindfall here?<\/p>\n<p>For those who don&#8217;t want to find out what the membership really thinks or wants<br \/>\nto stay ignorant of what&#8217;s going on, there&#8217;s a remove button on every mailing we<br \/>\nsend. Please use it if that is the case, but don&#8217;t stay on the list then send complaints<br \/>\ntrying to get it shut down and keep information from the membership. That is<br \/>\nsimply pathetic and as intellectually dishonest as it gets.<\/p>\n<p>Please be there for the meeting on October 5th. Make sure the Local hears your voice.<\/p>\n<p>===================================<\/p>\n<p>I. WHAT&#8217;S THE DEAL?<\/p>\n<p>Some days after it came to light that members knew of the listing, the main listing<br \/>\nof the Local 47 building being for sale was removed from the web, but a smaller<br \/>\nversion of the listing is still available.<\/p>\n<p>Also, note that it was listed in July! MORE BUILDING SALE COMMENTS<\/p>\n<p>The Committee&#8217;s take on the proposed building sale I find to be<br \/>\nspot on. One should be dubious of any idea that has no specifics<br \/>\nand no research. My recommendation is to follow the money.<br \/>\nThat will tell you the real reason for selling the property.<\/p>\n<p>&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>Whitewash<\/p>\n<p>Our union administration is putting the hard sell on getting rid of<br \/>\nour home for many years.<\/p>\n<p>I&#8217;m not buying it.<\/p>\n<p>Is the union administration really giving a fair hearing to the pluses<br \/>\n and minuses of this money grab ?<\/p>\n<p>It&#8217;s all &#8220;our future&#8221; &#8230; in a trailer park.<\/p>\n<p>What happened to the idea of putting up a parking structure and<br \/>\nrenting it to the nearby studios that so want that space for parking.<\/p>\n<p>Once we lose this centrally located area in the heart of Hollywood<br \/>\nit&#8217;s gone for good.<\/p>\n<p>Burbank is just not centrally located.<\/p>\n<p>Because of their antagonistic attitude towards our employers,<br \/>\ncomposers and agents, the work dues have dried up to the point<br \/>\nwhere they need to buy themselves a few more years for their<br \/>\nfailed tactics. What happens after that ? What can we sell next ?<\/p>\n<p>Several meetings ago our current rehearsal rooms were described<br \/>\nas state-of-the-art.<\/p>\n<p>I suppose if you like rehearsing in a non-sound proofed trailer park<br \/>\nthat might seem the case. Go take a look for yourself. And back when it was purchased, did members\u00a0<br \/>\nfunds pay for it? Does anyone know who is listed as owner on the title deed<br \/>\nto the Local 47 building? If we don&#8217;t collectively own it, why are we voting to<br \/>\ndetermine whether it should be sold or not if we don&#8217;t legally have\u00a0the<br \/>\npower to decide that?<\/p>\n<p>[EC: These are all excellent questions for Monday night.<\/p>\n<p>From what we know, the building is owned by Club 47, of which we are all<br \/>\nmembers. The club was created, for among other reasons, to keep the AFM<br \/>\nfrom taking the building should they want to take over the Local. We sense<br \/>\nan RMA role in that.<\/p>\n<p>We too want to know who&#8217;s name is on the title.]<\/p>\n<p>==========================================<\/p>\n<p>III. LETTER SENT TO FMA MEMBERS<\/p>\n<p>Dear Local #47 Members and FMA:<br \/>\n\u00a0<br \/>\nSubject: You decide: WHAT HAPPENS TO THE PROFIT FROM THE SALE<br \/>\nOF OUR LOCAL #47 BUILDING?!<\/p>\n<p>Please read!! Be informed!!<br \/>\n\u00a0<br \/>\nAs you most likely know, our Officers are holding a &#8220;Special Meeting&#8221;<br \/>\nto discuss:<br \/>\n&#8220;Selling our Local #47 property,&#8221; on this coming<br \/>\nMonday, Oct 5, 2015<br \/>\n6:30PM<br \/>\nLocal #47 Auditorium<\/p>\n<p>We are calling on ALL LOCAL #47 MEMBERS TO PLEASE ATTEND,<br \/>\nand BRING WITH YOU THE FOLLOWING DOCUMENTS:<\/p>\n<p>1) Your signed Local #47 Membership application, no matter how old it is!!<br \/>\nPlease look back thru your files and dig it out<br \/>\n2) Your accompanying signed Membership in \u201cThe Musicians Club,\u201d<br \/>\nWhich you also signed the \u201cday of joining\u201d Local #47.<br \/>\n\u00a0<br \/>\nWhy:<br \/>\n-The \u201cMusicians Club\u201d was a legal instrument created in 1972, To prevent<br \/>\nthe AFM Federation office from taking over our Local #47 offices.\u2028<br \/>\nDetails:<br \/>\nThis was during a turbulent time. Sadly, our then-sitting #47 President<br \/>\nwas accused of illegally skimming monies from the Health &#038; Welfare<br \/>\nfund for other uses. (a Federal offense.).<br \/>\n-&#8220;Certain Local #47 members&#8221; ascertained that the AFM could have<br \/>\nlegally taken ownership of our Local #47 building.<br \/>\n-To prevent this, the \u201cMusicians Club\u201d was created.<\/p>\n<p>THE MUSICIANS CLUB:<br \/>\n-Each \u201cMusicians Club\u201d member is also a Member of Local #47<br \/>\n-Each \u201cMusicians Club\u201d member is a \u201cCo-Owner\u201d of the property.<br \/>\n-Now, 40 years later, this \u201cMusicians Club\u201d legal document has<br \/>\n\u201cSerious legal repercussions\u201d<br \/>\n-regarding JOINT OWNERSHIP IN THE PROFITS FROM SALE OF OUR BUILDING!<\/p>\n<p>BUT WAIT, THERE\u2019S MORE!<br \/>\n-The original intent of the \u201cMusicians Club\u201d was to prevent the AFM<br \/>\nfrom taking over our building.<br \/>\n-However, in 1992, some of those same \u201cCertain Local #47 members\u201d<br \/>\nbegan to plan to sell the building.<br \/>\n-They realized that each \u201cMember in good standing\u201d of Local #47 stood<br \/>\nto share EQUALLY the profits.<br \/>\n-These \u201cCertain members\u201d arbitrarily CHANGED THE TERMS OF MEMBERSHIP<br \/>\nin the \u201cMusicians Club.\u201d<br \/>\n-Legally, each Member in good standing is a Co-owner of the property.<br \/>\nLegally, according to Real Estate Law, whenever terms of ownership are<br \/>\nchanged, those desiring to make that change MUST NOTIFY ALL CO-<br \/>\nOWNERS in writing, and \u2013<\/p>\n<p>1) Be able to prove notification to all Co-owners, (usually by signed<br \/>\nCERTIFIED LETTER;)<br \/>\n2) Be able to prove that all Co-owners were given an opportunity to<br \/>\nvote as to how ownership was to be changed.<br \/>\n3) Provide the results IN WRITING of the change.<br \/>\n\u00a0<br \/>\nHowever, in the case of the Local #47 building:<\/p>\n<p>1) The only \u201cNotice\u201d given to the Co-owners was a 1992 document,<br \/>\nAFTER THE FACT, stating the \u201carbitrary changes,\u201d and sent by regular<br \/>\nUS Mail.<br \/>\n2) THIS WAS ILLEGAL UNDER REAL ESTATE LAW!<br \/>\n3) Fellow members, WE ARE TALKING ABOUT OUR BUILDING REAL ESTATE.<\/p>\n<p>Please do the following:<\/p>\n<p>1) If at all possible, come early to this meeting,<br \/>\n2. Hopefully armed with your \u201cMusicians Club\u201d document!<br \/>\n3. If you are a licensed Real Estate Attorney, please come<br \/>\nprepared to speak during Member comments:<br \/>\n-State the law as applying to this circumstance!<br \/>\n-Be aware that \u201cCertain members\u201d will attempt to prevent<br \/>\nany comment, \u201cend discussion,\u201d and \u201cjump to a vote!\u201d<\/p>\n<p>Announcements are innocently stating that discussion will include:<br \/>\n-Selling our building<br \/>\n-\u201cReinvesting\u201d some of the sale monies in a new building, and using<br \/>\nthe balance for \u201cProviding for future expenses\u201d<\/p>\n<p>While this is a worthy discussion,<br \/>\n-We must insist on FULL DISCLOSURE of our legal options under Real<br \/>\nEstate Law!<br \/>\n-Not simply allow the \u201cCertain members\u201d to dictate the outcome.<br \/>\n\u00a0<br \/>\nPlease be there!<br \/>\nPlease speak up!<br \/>\n\u00a0<br \/>\nRegards,<br \/>\nLisa Haley<br \/>\nPresident,<br \/>\nFreelance Musicians Assn<\/p>\n<p>[EC: A couple of small points:<br \/>\n1) We have been told repeatedly that<br \/>\nthere will be NO VOTES taken at the meeting.<br \/>\n2) Unless they&#8217;ve pulled a fast one (or a curve), ALL<br \/>\nmembers in good standing, outside of inactive life<br \/>\nmembers and suspended members, are eligible<br \/>\nto vote in the referendum.]<\/p>\n<p>\u00a0<br \/>\n======================================<\/p>\n<p>IV. RECAP: A LITTLE CLUB 47 HISTORY<\/p>\n<p>It was always a rumor we heard since moving here that if the building were sold the<br \/>\nmonies were supposed to be divided up between all the members of club 47, i.e.<br \/>\nmembers of Local 47.<\/p>\n<p>In truth, according to our sources at the local, that is only true if the Local itself<br \/>\nis dissolved, not if the building is sold.<\/p>\n<p>1972 CLUB 47 BYLAWS<\/p>\n<p>Here is everything that is mentioned in the 1972 bylaws of Club 47 concerning<br \/>\nliquidation of Club Property:<\/p>\n<p>&#8212;&#8211;<\/p>\n<p>ARTICLE XI &#8211; DISSOLUTION<\/p>\n<p>Section 1<br \/>\n\tThis corporation cannot be dissolved as long as it has sixteen (16) members<br \/>\nor more, and then only by a three-fourths (3\/4) vote of existing members.<\/p>\n<p>Section 2<br \/>\n\tIn case of Dissolution, any property or funds of this corporation (Club 47)<br \/>\nshall be given unconditionally to the Musicians&#8217; Union, Local 47, American Federation<br \/>\nof Musicians, of Los Angeles, California.<\/p>\n<p>&#8212;&#8211;<\/p>\n<p>We do not know if the bylaws were adjusted between 1972 and 1992, but there are many<br \/>\nmore details in the Bylaws amended in 1992.<\/p>\n<p>According to our sources, the bylaws were amended in 1992 because of a conflict<br \/>\nbetween the bylaws and Franchise Tax Board rules.<\/p>\n<p>&#8212;&#8211;<\/p>\n<p>1992 CLUB 47 BYLAWS<\/p>\n<p>ARTICLE IV<\/p>\n<p>SECTION 2: Subject to Section 1, of Article IV, above, only the membership of this<br \/>\ncorporation (Club 47) shall have the authority to authorize or approve the sale,<br \/>\ntransfer or hypothecation of that real property, located at 817 North Vine St.,<br \/>\nHollywood, California (Hereinafter &#8220;the property&#8221;), to which the Musician&#8217;s Club<br \/>\ncurrently holds title. Such authorization shall be obtained or granted only through<br \/>\na mail referendum vote in which all members in good standing of the corporation<br \/>\nshall be entitled to vote.<\/p>\n<p>Provided, however, that any such referendum to authorize the sale, transfer or<br \/>\nhypothecation of the property shall only be effective and binding upon the Corporation<br \/>\nshould (1) 50% + 1 of the members on good standing of this corporation vote and (2)<br \/>\nof those 50% + 1 voting, a majority thereof vote in favor of approving, authorizing<br \/>\nor affirming any such proposed sale, transfer or hypothecation of the real property.<\/p>\n<p>Provided, further, that only the Board of Directors of the Corporation, upon a duly<br \/>\nadopted resolution, may call for any such referendum through which the members<br \/>\nof this Corporation will be requested to approve and\/or authorize the sale, transfer<br \/>\nor hypothecation o the real property.<\/p>\n<p>Provided, further that notwithstanding Article XIV, Section 1, this Article IV, Section 2,<br \/>\nmay only be amended if (1) 50% + 1 of the members in this Corporation cast a ballot<br \/>\non the question of amending this Article IV, Section 2, and ; (2) of those 50% + 1<br \/>\nmembers who cast a ballot, a majority thereof vote to amend this Article IV, Section 2.<\/p>\n<p>&#8212;&#8211;<\/p>\n<p>That is the sum and total of the verbiage concerning the sale of the property in<br \/>\nthe Club 47 bylaws, amended in 1992.<\/p>\n<p>&#8212;&#8211;<\/p>\n<p>We want to know more.<br \/>\n1) Who is the realtor for the Local?<br \/>\n2) Are they affiliated with the Local in any way shape or form? (They shouldn&#8217;t be.)<br \/>\nIf the building sells for 18 million the realtor stands to make between 2% and 2.5% of the<br \/>\nsales price ($320,000 to 410,000 dollars) or even more if the percent has to be split<br \/>\nbetween two realtors.<br \/>\n3) Shouldn&#8217;t an independent arbiter tally the membership votes on this matter?<br \/>\n4) What specifically will the general membership get out of the sale?&#8230; and the huge profit<br \/>\nto be enjoyed by the local? (Free rehearsal rooms?; Free dues for members for some length<br \/>\nof time?)<\/p>\n<p>What questions do you have? Are you pro or con.<\/p>\n<p>Whatever comment you send to us, please make sure you send it to the Overture as<br \/>\nwell, and specifically demand it&#8217;s printing in the next edition.<\/p>\n<p>We deserve a much more far reaching and balanced discussion before our building goes<br \/>\nup for sale.<\/p>\n<p>The recent attempt to shut down the committee mailings speaks volumes about agendas.<\/p>\n<p>THE COMMITTEE<\/p>\n<p>=========================================<\/p>\n<p>VI.
